Licensing Agreement

 

This licensing Agreement (this "Agreement") is a binding contract between you ("Customer," "you," or "your") and BIBB PowPCo Digital Communities Inh. Martinez Valero ("BIBB," "we," “the company” or "us"). 

 

By purchasing or downloading any of the products on bibb.pro you are agreeing to the following:

 

Definitions.

 

Item. Item is any digital product sold through BIBB; an item may contain one or several files. 

 

End product. The End Product is a customised implementation of the Item. For example, the Item is a package of UI elements. The End Product is your unique finished Power BI dashboard, the wireframe, documentation, or the prototype created for that specific client.

 

Authorized User. Means Customer and Customer's employees, consultants, contractors, and agents that use the Items under the rights granted to Customer according to this Agreement and for whom access to the Services has been purchased hereunder.

 

Lifetime access. Means that the user will have access to the digital service for as long as the service exists and the company is in operation. The company may change the service or limit access to certain features or content in the future, but the user will be entitled to use the service for the duration of their life or until the service is discontinued by the company. In the event that the company discontinues the service, the user will no longer have access to the digital service or any of its content or features.

Yearly access. The term "yearly access" refers to the provision of access to the digital product for a period of one year from the date of purchase. During this period, the user will have unlimited access to the digital product and any associated updates or new features released by the company. Upon expiration of the yearly access period, the user can renew their access for an additional year, subject to payment of the relevant fee. The company may modify the digital product or limit access to certain features or content during the yearly access period. Still, the user will be entitled to use the digital product for the duration of their yearly access or until the access is discontinued by the company or the company ceases its operation. In the event that the company discontinues the yearly access, the user will no longer have access to the digital product or any of its content or features after the expiration of their current yearly access period.

 

Provision of Access. 

 

Subject to and conditioned on your payment and compliance with all the terms and conditions of this Agreement, BIBB hereby grants you a non-exclusive, non-transferable, non-sublicensable, limited right to use the purchased items on unlimited projects; this includes commercial and personal work.

 

You are licensed to use the purchased Item to create unlimited End Products for yourself or your clients; the End Product may be sold, licensed, sub-licensed, or freely distributed.

 

Number of Users. The maximum number of simultaneous users is specified at purchase and in your receipt. All users must belong to the same company or household purchasing the Product.

 

Subject to the terms and conditions of this Agreement, the following are the permitted uses and prohibited uses of the Product:

 

Permitted Use:

 

• Licensee may use the digital product ("Product") to create an end product for a client or for personal or commercial use.

• Licensee may sell, license, sub-license, or distribute the end product, and make any number of copies of it.

• Licensee may combine the Product with other works to create a derivative work, subject to the terms of this license.

• This license allows for multi-use, meaning that Licensee may use the Product multiple times in multiple projects.

• Licensee may publish the Product in their team library or share the files within their organisation for participants, provided they have bought the appropriate number of licenses.

• Licensee may modify or manipulate the Product as needed.

 

Prohibited Use:

 

• Licensee is not allowed to share the link to the Product on the web or distribute it with Figma public access.

• Licensee is not allowed to include any of the Item design files into the end product as-is.

• Licensee is not allowed to redistribute the Product as stock, in a tool or template, or with source files, either on its own or bundled with other items, even if the Product has been modified.

• Licensee is not allowed to redistribute or make available the Product as-is or with superficial modifications.

• Licensee must not permit an end user of the end product to extract the Product and use it separately from the end product.

• Licensee is not allowed to publish the Product in their team library or give edit permissions to other people if they bought an individual license.

• Licensee is not allowed to redistribute, resell, lease, license, or sublicense the Product as-is.

 

Refunds

Given the nature of digital products, it is impossible to ensure that users are not copying or reproducing the assets after purchase. Therefore, refunds will not be available for any purchased digital products.

 

Notwithstanding the above, BIBB acknowledges that customer satisfaction is of utmost importance and is committed to addressing any issues that customers may have with their purchases. In the event that a customer is dissatisfied with their purchase, BIBB invites the customer to contact them to discuss the matter further. BIBB will make reasonable efforts to resolve any concerns and ensure that the customer receives the intended value from the purchased digital product. However, BIBB makes no guarantee of any particular outcome or resolution.

 

Disclaimer

Indemnification. Customer shall indemnify, hold harmless, and, at BIBB's option, defend BIBB and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, incurred by BIBB resulting from any third-party claim, suit, action, or proceeding that the Customer Data, or any use of the Customer Data in accordance with this Agreement, infringes or misappropriates such third party's intellectual property rights; provided that Customer may not settle any claim against BIBB unless BIBB consents to such settlement, and further provided that BIBB will have the right, at its option, to defend itself against any such claim or to participate in the defence thereof by counsel of its own choice.

 

Limited Warranty and Liability. The item or items provided by BIBB are provided "as is," and BIBB makes no express or implied warranty with respect to the item or items, including, without limitation, any warranty of merchantability or fitness for a particular purpose. BIBB shall have no liability in contract, tort, negligence, or otherwise arising from this agreement or the use of the item or items.

 

In no event shall BIBB be liable to you or any third party for any damages arising from or relating to this agreement or the use of the item or items, including, without limitation, any personal injury, direct, indirect, special, or consequential damages, or similar damages, including lost profits, even if BIBB has been advised of the possibility of such damages. You expressly waive any and all claims you may have against BIBB and any director, officer, employee, or agent arising from the use of the item or items.

 

In addition, to the extent permitted by applicable law, your sole and exclusive remedy against BIBB for any claim or dispute arising out of this agreement or the use of the item or items shall be limited to the amount paid by you to BIBB for the item or items. This limitation of remedies shall apply whether the claim is based on a breach of contract, warranty, tort, or any other legal theory.
